Seller Supplemental Terms

Seller Fee Schedule

(Effective Date: August 20, 2025)

This Seller Fee Schedule is an addendum to the Truly Free Seller Terms & Conditions. It sets forth all standard platform fees, transaction costs, and payment processing charges applicable to sales conducted on the Truly Free Marketplace. Fees for supplemental or promotional programs may be published separately and are incorporated by reference.

1. Platform (Referral) Fees

Platform (referral) fee is determined by how quickly you confirm shipment of each order from the time it is placed:

  • 13% platform fee for orders shipped within 24 hours
  • 15% platform fee for orders shipped within 48 hours
  • 17% platform fee for orders shipped within 72 hours

Platform fees are calculated as a percentage of the total order price, including shipping and handling.

2. Transaction, Processing, and Exchange Fees

  • Merchant Processing Fee: Approximately 2.9% plus $0.30 per transaction, applied to the total payment amount processed via credit/debit card or digital wallet.
  • Exchange Contribution Fee: Minimum 1% of each purchase is contributed to the Truly Free XChange—a program returning value to customers as digital coins ("Talents") redeemable for future purchases. Sellers have the right to increase their contribution percentage for promotions.
  • ACH Fee: Approximately 0.25% plus $0.10 per transaction for funds disbursed to sellers via ACH transfer.

3. Net 30 Withholding System

Truly Free employs a holding period structure to protect sellers, customers, and the marketplace:

Payout Schedule:

  • 90% of your Net Sales Proceeds is released on a net-3-business-day basis after the sale.
  • The remaining 10% is withheld for net-30 calendar days before being released.

This system helps manage refunds, chargebacks, and other potential liabilities, ultimately reducing overall seller risk and, over time, the effective cost of marketplace participation.

4. Free Trial & Monthly Seller Subscription

  • Sellers receive a 30-day free trial period upon registration.
  • You will receive a reminder notice by email at least fifteen (15) days before your free trial concludes. The notice will specify:
    • The exact date your monthly subscription billing will begin.
    • The subscription fee of ninety-seven dollars ($97) per month.
    • Instructions for cancellation.
  • If you do not cancel your seller account prior to the end of the free trial, your payment method on file will be automatically charged the $97 monthly subscription fee. This fee will be charged to your payment method on file each month, on the same calendar date as your initial billing, unless and until you cancel your account as described in these Terms & Conditions.

5. Cancellations, Returns, and Refunds

(a) Overview (for convenience only).

This section summarizes Seller obligations regarding cancellations, returns, and refunds. The overview is intended to aid readability and does not limit or modify the detailed provisions in subsection (b).

(b) Detailed Terms.

Cancellations

  • Members may cancel orders prior to shipment confirmation.
  • TFM will notify Seller of cancellations; Seller shall not ship once notified.
  • Seller bears the cost of shipments made after receiving cancellation notice.

Returns

  • Members are entitled to a 30-day money-back guarantee (including used product).
  • Members are entitled to a 90-day return period for all products without cause.
  • Seller must accept all timely returns.
  • TFM may act as Seller's agent in accepting returns.

Return Handling

  • Members shall return products directly to Seller.
  • TFM may provide prepaid return labels; Seller shall reimburse cost plus markup per Fee Schedule.
  • Seller bears all risk of loss or damage after return shipment confirmation.

Refunds

  • TFM shall issue refunds directly to Members in an amount equal to product price, shipping, and taxes.
  • Refunds may be made in cash or non-cash equivalents (including Talents, credits, or promotional codes).

Seller's Refund Charge

Seller's refund charge shall equal:

  • (i) the full refund amount,
  • less (ii) any taxes reclaimed by TFM,
  • less (iii) Talents credited on the original sale,
  • plus (iv) the Refund Fee per Fee Schedule,
  • plus (v) return shipping label cost and markup per Fee Schedule,
  • less (vi) fees collected on the original sale, excluding non-returnable Promotional Fees.

Seller authorizes TFM to collect refund charges by offsetting Net Sales Proceeds or via ACH debit.

6. Additional Notes & Clarifications

  • All fees above are deducted automatically from your sales proceeds before funds are disbursed.
  • Fees and schedules may be updated from time to time. Changes are posted to the Seller Portal and are effective as published.
  • Promotional programs, optional services, or campaign participation may incur additional fees, which will be disclosed in the corresponding supplemental terms.
  • This schedule does not cover product returns, refunds, or program-related promotional fee structures, which are defined in separate addenda or policies.
